Introduction

These are the terms and conditions of use for www.silkfred.com (the Site). The Site is operated by SpaceChica Ltd trading as SilkFred (SilkFred, we, us and our). We are a company registered in England and Wales under company number 16899868. Our registered office is at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.

Your use of the Site is subject to these terms and conditions and, by using the Site, you agree to be bound by them. Any products you order through the Site are supplied subject to our Terms of Sale. If you are a Brand or other supplier, any Boutique, seller or other services or access that we make available to you may be subject to separate Brand Terms provided to you before use. Use of personal information submitted to or through the Site is governed by our Privacy Policy and Cookie Policy.

We reserve the right to change these terms and conditions from time to time by changing them on the Site. The date at the top of this page shows when these terms and conditions were last updated.

Access to the Site

The Site is intended for use only by persons who are at least 18 years of age. By using the Site, you confirm to us that you meet this requirement.

It is your responsibility to ensure your equipment—including any computer, laptop, tablet, mobile device or other device—meets the technical specifications necessary to access and use the Site and is compatible with the Site.

We may, from time to time, restrict access to certain features, parts or content of the Site, or the entire Site, to users who have registered with us. You must ensure that any registration details you provide are accurate. If you choose, or are provided with, a sign-in identifier, link, one-time code or other method as part of our security procedures, you must treat it as confidential and must not reveal it to anyone else. You must keep secure the email account or other service through which you receive a sign-in link or code.

You are responsible for all activities that occur under your account or sign-in method and must notify us immediately of any unauthorised use or other security breach of which you become aware. We reserve the right to disable any account or sign-in method at any time if, in our opinion, you have failed to comply with any provision of these terms and conditions or if any details you provide for registration prove to be false.

We cannot guarantee the continuous, uninterrupted or error-free operation of the Site. There may be times when certain features, parts or content of the Site, or the entire Site, become unavailable—whether on a scheduled or unscheduled basis—or are modified, suspended or withdrawn by us without notice to you.

You agree that, to the fullest extent permitted by law, we will not be liable to you or any third party for any unavailability, modification, suspension or withdrawal of the Site, or any of its features, parts or content.

What you are allowed to do

You may only use the Site for non-commercial use and in accordance with these terms and conditions. You may retrieve and display content from the Site on a device, print and copy individual pages and, subject to the next section, store such pages in electronic form. Additional terms may also apply to certain features, parts or content of the Site and, where they apply, will be displayed on-screen or made accessible through a link.

What you are not allowed to do

Except to the extent expressly set out in these terms and conditions, you are not allowed to:

  • scrape content, store Site content on a server or other network-connected storage device, or create an electronic database by systematically downloading and storing all or a substantial part of the Site's content;
  • remove or change any content of the Site—other than content you own and are expressly authorised by us to manage as a Brand—or attempt to circumvent security or interfere with the proper working of the Site or the servers on which it is hosted; or
  • create links to the Site from any other website without our prior written consent.

You must only use the Site and anything available through it for lawful purposes, in compliance with all applicable laws and regulations, in a responsible manner, and not in a way that might damage our name or reputation or that of any of our affiliates.

All rights granted to you under these terms and conditions will terminate immediately if you breach any of them.

Intellectual property rights

All intellectual property rights in any content of the Site—including text, graphics, software, photographs and other images, videos, sound, trade marks and logos—are owned by us or our licensors. Except as expressly set out here, nothing in these terms and conditions gives you any rights in respect of intellectual property owned by us or our licensors, and you do not acquire any ownership rights by downloading content from the Site.

If you print pages from the Site as permitted by these terms and conditions, you must ensure that any copyright, trade mark or other intellectual property rights notices contained in the original content are reproduced.

All images and photographs on the Site, including product images, are owned by SilkFred, the relevant Brand and/or our other licensors. You may not copy, reproduce or otherwise use any images on the Site for any purpose other than viewing pages on the Site. In particular, you may not use our images on any other website or application.

SilkFred operates a zero-tolerance policy toward reproductions of its images made in violation of the foregoing and may pursue available legal actions and remedies against infringements of its intellectual property rights.

Content

We may change the format and content of the Site from time to time. You agree that your use of the Site is on an “as is” and “as available” basis and at your sole risk.

Whilst we try to make sure that all information contained on the Site—other than user-generated content—is correct, it is not intended to amount to authority or advice on which reliance should be placed. You should check with us or the relevant information source before acting on any such information.

Except to the extent that our Terms of Sale apply, we make or give no representation or warranty as to the accuracy, completeness, currency, correctness, reliability, integrity, quality, fitness for purpose or originality of any content of the Site. To the fullest extent permitted by law, all implied warranties, conditions or other terms of any kind are excluded, and we accept no liability for loss or damage incurred as a result of you or anyone else using the Site or relying on any of its content.

Nothing in these terms excludes or limits rights or remedies that cannot lawfully be excluded or limited, including your statutory rights in relation to products you buy from us.

We cannot guarantee that Site content will be free from viruses or other code that may have contaminating or destructive elements. It is your responsibility to use appropriate IT security safeguards, including anti-virus software and other security checks, to meet your requirements for the safety and reliability of Site content.

Public Forums

We may, from time to time, make chat rooms, message boards, news groups or other public forums available to users. Additional community terms and moderation rules may apply to any such feature. If you use a public forum, you must not upload content that is libellous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, offensive, otherwise unlawful, or prejudicial to any person or group on grounds including race, religion, sex, sexual orientation, age or disability.

We reserve the right to remove user content and to block a user from any public forum or from the Site at our discretion.

User Generated Content Terms of Use

We may ask social-media users for permission to feature content on our websites, social-media channels or promotional materials, including Instagram, Facebook and TikTok (the SilkFred Channels). If we ask to use content such as a post, image, video, text, name, username or handle and you give us permission by the method specified in our request, that content is Your Content and you agree to the following terms:

  1. You grant SpaceChica Ltd trading as SilkFred a worldwide, perpetual, irrevocable, non-exclusive, assignable and royalty-free licence, with the right to sub-license, to use, reproduce, publish, exploit, edit, adapt, alter and otherwise use Your Content. Your Content will be treated as non-confidential and non-proprietary.
  2. You warrant and represent that:
    • you own all rights in Your Content;
    • you have obtained every release, consent and licence needed for our use of material in Your Content that belongs to, is licensed by, or is subject to the rights of another person;
    • you have permission from every identifiable person appearing in Your Content and, where an identifiable person is under 18, you are their parent or legal guardian or have the express consent of their parent or legal guardian; and
    • Your Content and our use of it will not infringe intellectual property, privacy, publicity or other rights; contain abusive, offensive, defamatory, misleading, discriminatory, sexually explicit, harassing or threatening material; impersonate another person; disclose personal or payment information; breach a duty owed to another person; contain malicious code; or violate applicable law.
  3. To the extent permitted by law, you waive and will procure the waiver of moral rights in Your Content, including rights under Chapter IV of Part I of the Copyright, Designs and Patents Act 1988 and equivalent rights in other jurisdictions.
  4. We may use Your Content on the SilkFred Channels at any time and for any purpose, including advertising products.
  5. Publication is at our discretion. We may edit Your Content before or after publication or decide not to publish it.
  6. You are not entitled to a fee, financial reward or other incentive if we use Your Content.
  7. You acknowledge that users of social-media platforms may share or otherwise use Your Content after we publish it and grant the permissions needed for Your Content to be used in that way.
  8. Personal data collected from Your Content will be handled in accordance with our Privacy Policy and these terms.
  9. To the extent permitted by law, you are responsible for Your Content and will indemnify us and anyone acting on our behalf against claims, liabilities, damages, costs and reasonable legal expenses arising from your breach of these user-generated-content terms or the warranties you give above.
  10. We may amend these user-generated-content terms from time to time. Please review the current terms whenever you give us permission to use new content.

The Site may, from time to time, include links to external sites, including links to third-party offers and promotions. We include these to provide access to information, products or services that you may find useful or interesting. We are not responsible for the content of external sites or for anything they provide and do not guarantee that they will be continuously available.

The inclusion of a link to an external site does not imply that we endorse or are associated with its operator or promoter.

General

Nothing in these terms and conditions limits or excludes our liability:

  • for death or personal injury caused by our negligence;
  • for fraudulent misrepresentation;
  • for breach of any term implied by the Consumer Rights Act 2015 that, by law, may not be limited or excluded; or
  • for any other liability that, by law, may not be limited or excluded.

These terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction. If you live in Scotland, you may also bring proceedings in Scotland. If you live in Northern Ireland, you may also bring proceedings in Northern Ireland. If you live elsewhere, you may have the benefit of mandatory protections provided by the law of the country in which you live.
